Incorporating a private limited company is only the beginning. Once registered, a company must meet a set of annual statutory and ROC (Registrar of Companies) compliances — and these apply even if the company had little or no activity during the year. Missing them can lead to penalties, additional fees and, in serious cases, disqualification of directors.

Key annual compliances

  • Board meetings: hold the minimum number of board meetings required under the Companies Act, with proper notice and minutes.
  • Annual General Meeting (AGM): conduct the AGM within the prescribed time after the financial year end.
  • Statutory audit: get the annual financial statements audited by a chartered accountant.
  • Financial statements — Form AOC-4: file the audited financial statements with the ROC.
  • Annual return — Form MGT-7 / MGT-7A: file the company's annual return with the ROC.
  • Director KYC — DIR-3 KYC: every director with a DIN must complete their annual KYC.
  • Income Tax Return: file the company's ITR for the financial year.
  • Statutory registers & minutes: maintain up-to-date registers, minutes and records.

Beyond the annual cycle, several changes trigger their own ROC filings, such as:

  • Appointment or resignation of directors
  • Change of registered office
  • Allotment or transfer of shares
  • Changes to authorised or paid-up capital
